These music submission terms and conditions (this “Agreement”) describe the legal relationship between “you” (an individual artist, or, in the case where you are involved with a band, an individual acting as the legal representative of your band) with Spikes Hill Production, Inc. who is the sole owner and operator of RISE ABOVE IT ALL RADIO also known as R.A.I.A. Radio, its successors, assigns, agents, distributors and licensees (collectively, “Spikes Hill Production (R.A.I.A. Radio)”), and governs the submission by you of sound recordings, musical works and/or other material (such as pictures, videos, song lyrics, etc.) (collectively, the “Content”) to Spikes Hill Production (R.A.I.A. Radio), for public display on the Spikes Hill Production (R.A.I.A. Radio) website (the “Site”) for the purpose of public access of the Content. The “Site” means the R.A.I.A. Radio web site located at, or linked to through, the root URL www.raianetwork.com, which may expand or change from time to time.

By submitting Content to Spikes Hill Production (R.A.I.A. Radio) you are accepting the terms and conditions of this Agreement. You also agree that: (i) you have read and understood this Agreement and agree to be bound by its terms and conditions; and (ii) you are at least 18 years of age.

License

You hereby grant to Spikes Hill Production (R.A.I.A. Radio) a nonexclusive, worldwide, royalty-free license to: (a) reproduce, distribute, publicly perform, publicly display and digitally perform the Content in whole or in part (including the right to create compilations which include your songs); (b) create and use samples of the Content solely for the purpose of demonstrating or promoting our or your products or services; (c) use any trademarks, service marks or trade names incorporated in the Content; and (d) use the name and likeness of any individuals represented in the Content.



2. Content

By submitting to Spikes Hill Production (R.A.I.A. Radio), you represent and warrant that the content being submitted either:

(1) is your own original musical composition;

(2) within the public domain or otherwise copyright-free;

(3) performed with all applicable licenses and rights granted to you by the applicable copyright holder(s). If the Content is performed with all applicable licenses and rights granted to you by the applicable copyright holder(s), you agree to provide to Spikes Hill Production (R.A.I.A. Radio) upon request proof of such licenses and/or rights relating to the consent of such copyright holder(s) to perform and record the Content and to submit the Content to Spikes Hill Production (R.A.I.A. Radio).

(4) The Content does not and will not contain any viruses or other programming routines that detrimentally interfere with computer systems or data.

(5) You agree to provide product as a MP3 to with no expectation of remuneration through money, trade or merchandise.

(6) If MP3 file is not available you agree to allow the right to use Music links downloads, or any other MP3, MP4, MV4 or Video links available. Additionally, you give the right to use all submitted info (IE: bio, images – jpg, gif, pdf, etc, links) for promotional purposes.

(7) If your song is selected you agree to allow Spikes Hill Production (R.A.I.A. Radio) to distribute your product for Internet Radio, Webcasts, Online Radio Stations, Podcasts, Social Sites affiliated with – referred to as Spikes Hill Production (R.A.I.A. Radio)

(8) The decision of your song being added to the R.A.I.A. Radio’s Jamz Session Rotation is at the sole discretion of Spikes Hill Production (R.A.I.A. Radio) admin. This decision may not be challenged in any way by you, your legal representative, agent, or label.

(9) It is understood by you that the decision to expose your music, song(s), or lyrics, bio and music info to the public rest solely with Spikes Hill Production (R.A.I.A. Radio).



Spikes Hill Production (R.A.I.A. Radio) holds the right to terminate, or alter this agreement without notice. You agree to inform Spikes Hill Production (R.A.I.A. Radio) within 2 days from the date of any alterations and/or addendums if you would like to have your content removed from our rotation, and websites.



3. Rights to Enter into Agreement

You have full right and power to enter into and perform this Agreement, and have secured all third party consents necessary to enter into this Agreement. You agree to indemnify and hold Spikes Hill Production (R.A.I.A. Radio) and users of the Site harmless from any and all damages and costs, including reasonable attorney’s fees, arising out of or related to your breach of the representations and warranties described in this section. You agree to execute and deliver documents to Spikes Hill Production (R.A.I.A. Radio), upon our reasonable request, that evidence or effectuate our rights under this Agreement.
