VH2 TELEVISION Exclusive Talent Agreement ENGAGEMENT The Company hereby engages Talent to provide personal services in connection with television, streaming, digital, and related media projects (“Projects”), and Talent accepts such engagement on an exclusive basis during the Term of this Agreement. TERM This Agreement shall commence on Start Date and continue for a period of Date Listed, unless earlier terminated in accordance with this Agreement. COMPENSATION Base Pay: Talent shall receive amounts per episode/appearance, payable within 30 days of production completion. (See Payment Section) Bonuses/Residuals: Additional compensation, if any, shall be set forth in applicable production agreements. RIGHTS GRANTED Talent grants Company the exclusive worldwide rights to use their name, likeness, voice, and performance in all media, now known or later developed, in connection with the Projects. CREDIT Company shall provide Talent with appropriate screen and promotional credit as “Starring/Featuring [Talent Name]” or comparable billing. REPRESENTATIONS & WARRANTIES Talent represents they have the full legal right and authority to enter into this Agreement and that their participation does not violate any other agreement. TERMINATION The Company may terminate this Agreement in the event of: (a) breach by Talent, (b) conduct by Talent that negatively impacts Company’s reputation, or (c) inability of Talent to perform due to illness, injury, or legal restriction. MINOR TALENT RIDER (if applicable) If Talent is a minor under the age of 18: This Agreement must be executed by Talent’s parent/legal guardian, who shall also assume full responsibility for Talent’s obligations. Company shall comply with all applicable Georgia labor laws for minors, including work hours, schooling requirements, and permitting. Parent/Guardian shall indemnify Company against any claims arising from Talent’s participation. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. ENTIRE AGREEMENT This Agreement, along with any attached riders, constitutes the entire understanding between the Parties and supersedes all prior negotiations. CONFIDENTIALITY Talent agrees that during and after the Term of this Agreement, they shall not, without prior written consent of the Company, disclose to any third party any confidential or proprietary information obtained during the course of their engagement, including but not limited to: Production details, scripts, budgets, casting information, and unreleased content; Company business strategies, contracts, and internal communications; Any personal or sensitive information regarding other cast, crew, or Company staff. This obligation of confidentiality shall survive termination of this Agreement. Breach of this clause shall be grounds for immediate termination and may result in legal action. *
