LLPB Resale Seller Agreement & Terms
Thank you for participating in an LLPB resale event. Please review all terms carefully. Submission of merchandise constitutes full agreement to this contract.
All official seller communication must be directed to the boutique cell at 561-813-1441. Messages sent to email, social media, or personal phones are not considered official communication.
Seller Participation & Marketing
UPDATED FEBRUARY 2025: A $20 monthly marketing fee will be deducted directly from seller payout. This fee supports advertising, signage, social media promotions, printed materials, and related marketing expenses.
Promotion of events is encouraged but not required. LLPB reserves the right to prioritize future seller approvals based on cooperation, participation, and overall support of boutique events.
Consignment Fee Structure
Locals (Palm Beach, Martin, & St. Lucie Counties): LLPB retains 35% of each sale.
Out-of-Town Sellers (all other counties/states): LLPB retains 40% of each sale.
The seller percentage is calculated first. Month 2 and Month 3 discounts are then applied automatically by consignment software.
LLPB makes no guarantees regarding sale outcomes or payout amounts.
Operational Fee
A $2 per item monthly operational fee will be deducted from payout. This covers seller software, credit card systems, administrative costs, and operational overhead.
Pricing Authority
LLPB handles all item entry, pricing, and pricing adjustments.
Sellers do not receive portal access. All pricing decisions are at the sole discretion of LLPB.
LLPB reserves the right to adjust pricing at any time based on market demand, boutique balance, seasonal curation, sale performance, or item condition.
Submission of items does not guarantee inclusion in a specific sale.
Three-Month Commitment
All items are committed for a three-month selling cycle.
• Month 1: Items are sold at full tagged price.
• Month 2: Remaining items are discounted 20%.
• Month 3: Remaining items are discounted 30%.
• Final Day of Open Week (Month 3): Any items still available will be marked 50% off for a final clearance opportunity.
LLPB reserves the right to extend the 50% discount throughout the entire Open Week (but not during Resale Weekend) at its discretion.
Discounts are calculated from the original tag price.
Items may not be removed during the active three-month commitment.
At the conclusion of Month 3, sellers must either:
• Pick up unsold items during the designated pickup window
OR
• Donate unsold items
Items not picked up during the designated window will be deemed abandoned and donated without exception.
Once items are designated for donation, they cannot be reclaimed.
Item Standards & Acceptance
All items must:
• Be authentic
• Be legally owned by the seller
• Not be stolen, subject to lien, or involved in ownership dispute
• Be free of stains, fading, pilling, holes, alterations, missing buttons, broken zippers, pulled threads, pet hair, odors, or discoloration
• Come from a smoke-free environment
Accepted categories include:
• Women’s clothing
• Children’s clothing
• Men’s clothing
• Swimwear (NWT or NWOT with liner intact)
• Jewelry and accessories
• Shoes in new or like-new condition
Shoes must be in original boxes. If no box is provided, a $2 replacement fee per pair will be deducted.
LLPB reserves the right to refuse any item that does not meet boutique standards.
Items not meeting standards will be donated and will not be returned.
Seasonal Restrictions
Heavy sweaters are not accepted March through September.
All sweaters must be picked up following the February sale. Sweaters remaining after March pickup will be donated.
Seasonal inventory may be removed at LLPB’s discretion.
Drop-Off & Contract Execution
No appointments required.
Items must be dropped off in clearly labeled bags with seller name and phone number.
Completion of the digital drop-off form is required.
Failure to complete the form does not void this agreement. Receipt of merchandise constitutes acceptance of this contract.
Items received after official drop-off deadlines may not be included in the upcoming sale.
Pickup Policy
Pickup must occur during designated open week or approved resale weekend window.
Mixed brand items must be picked up the month following the sale.
Items not picked up during the designated window will be automatically donated without exception.
Payouts & W-9 Requirements
A completed W-9 is required annually for:
• Direct payouts
• In-store credit usage
Failure to provide required documentation will result in payout or use of in-store credit hold.
Payouts must be requested through the Seller Hub. Payouts are not automatic.
No early or partial payouts will be issued.
Failure to request payout within 90 days of eligibility constitutes voluntary forfeiture of funds, which will be donated to the monthly
charity.
LLPB reserves the right to correct clerical, pricing, or administrative errors at any time.
LLPB collects and remits applicable sales tax on behalf of sellers.
Out-of-Town Seller Payout & Return Process
Out-of-town sellers must request payout in the same manner as local sellers once deemed eligible.
When eligibility is confirmed and a payout request is submitted, the bookkeeper will notify the boutique to prepare the payout and return shipment.
LLPB is closed Saturday through Monday following resale weekend. Payout processing begins on Tuesday of payout week.
Local seller payouts are processed first. Out-of-town sellers are processed afterward.
During the scheduled payout month, unsold items will be packaged and mailed together with the payout check.
Please allow up to 14 days from the last day of resale weekend during the payout month for items to be packaged, shipped, and tracking information sent.
One of the LLPB staff members will send tracking once shipment has been completed.
Payouts and returns are processed in batches based on operational scheduling.
Oversized Item Policy
Oversized items that were physically dropped off at the boutique will not be mailed back under any circumstances.
Oversized items must be picked up in person during the designated pickup window.
If not picked up, they will be deemed abandoned and donated without exception.
Chargebacks & Payment Reversals
If a customer transaction is reversed, disputed, or charged back, LLPB reserves the right to deduct the disputed amount from seller payout.
Risk of Loss & Force Majeure
LLPB takes reasonable precautions to safeguard inventory; however, LLPB is not responsible for loss, theft, fire, water damage, natural disaster, vandalism, accidental damage, power outages, or other circumstances beyond its control.
In the event of hurricane, natural disaster, government closure, or circumstances beyond LLPB’s control, resale events and payout timelines may be adjusted accordingly.
All items are consigned at the seller’s own risk.
Authenticity & Indemnification
Sellers affirm that all items are authentic and legally owned.
Sellers agree to indemnify and hold harmless Lilly Lovers of the Palm Beaches from any legal claims, damages, losses, fees, or disputes related to authenticity, ownership, intellectual property, resale rights, or third-party claims.
Seller Conduct & Participation
LLPB operates with a small staff and volunteer team to support boutique operations and charitable initiatives.
All communication and interactions must remain professional and respectful.
Abusive, threatening, harassing, or inappropriate behavior toward LLPB staff, volunteers, customers, or other sellers will not be tolerated.
Participation as a seller with LLPB is a privilege. LLPB reserves the right to terminate or decline seller participation at its sole discretion.
Florida Identification Requirement
In compliance with Florida secondhand dealer regulations, a valid government-issued ID must be kept on file for each seller transaction.
Policy Amendments
LLPB reserves the right to amend seller policies at any time to remain compliant with operational or legal requirements.
Final Agreement
I have read, understand, and agree to all Seller Terms & Conditions.
Receipt of consignment merchandise constitutes full acceptance of this agreement.
