GSOC Non-Disclosure Agreement
Girl Scouts of Orange County greatly values its volunteers and members and their contributions to propel the Girl Scout movement. Our volunteers often deal with resources, tools, and scenarios that contain confidential and proprietary information, personal identifying information, intellectual property and trade secrets owned by Girl Scouts USA (GSUSA) or Girl Scouts of Orange County (GSOC) as a charter Council of GSUSA.

Volunteers are required to sign a non-disclosure agreement, agreeing to protect personal information and respect ownership of intellectual property.

NON-DISCLOSURE AGREEMENT Girl Scouts of Orange County greatly treasures its volunteers and members. They drive our Girl Scout movement. In partnership with staff, volunteers support girl and adult members and help to ensure that a consistent, high quality Girl Scout Leadership Experience (GSLE) is available to all girls in our Council. In connection with Volunteer’s duties, Girl Scouts of Orange County (GSOC) will provide Volunteer access to software programs, data, and private information on Girl Scout members for use as a Girl Scout volunteer.

These resources and tools may contain confidential and proprietary information, intellectual property and trade secrets owned by Girl Scouts USA (GSUSA) or Girl Scouts of Orange County (GSOC).

CONFIDENTIAL INFORMATION: Volunteer acknowledges that in their role, Volunteer will be given or have access to confidential member information (“Confidential Information”) including, but not limited to, name, address, medical information, school, grade and contact information, and troop number of Girl Scout members. The Confidential Information provided by GSOC is protected from disclosure by privacy laws.

Volunteer, in addition to their respective obligations hereunder, agrees to maintain the confidentiality of GSOC and GSOC-related Confidential Information pursuant to all statutory laws relating to privacy and confidentiality that currently exist at any time during the term of this Agreement. All such information shall be considered confidential and kept confidential to the extent permitted by federal and state law.

Volunteer further acknowledges that GSOC’s willingness to disclose Confidential Information to Volunteer is predicated on Volunteer entering into and committing to abide by the terms of this Agreement and all applicable privacy laws.

Volunteer shall use the Confidential Information solely in connection with performance by Volunteer of the services provided to GSOC and for no other purpose. Volunteer shall not sell, release, transfer, reprint, duplicate, recreate, disclose or permit the disclosure to any other person or entity of any of the Confidential Information or of any files, compilation, study, report, or analysis or database containing, based on, or derived from the Confidential Information without the express written consent of GSOC and in full compliance with applicable state and federal privacy laws.

OWNERSHIP AND RETURN OF INFORMATION: Volunteer acknowledges that GSOC retains complete ownership and right of disclosure of all Confidential Information it provides to Volunteer. GSOC may, at any time, require Volunteer return all or such part of the Confidential Information as GSOC may designate to be returned. In addition, upon the completion of the services provided by Volunteer to GSOC, Volunteer shall return or destroy, as GSOC may instruct, all Confidential Information in Volunteer’s possession or control, whether in printed, electronic or any other format, including all duplicates and copies thereof of any files, compilation, study, report, analysis, or data base containing, based on or derived from the Confidential Information.

IMMEDIATE NOTICE: Volunteer shall give GSOC immediate notice of any unauthorized use or disclosure of the Confidential Information, or of any breach or threatened breach by Volunteer, of their obligations under this Agreement, upon learning of same.

DISPUTE RESOLUTION: In the event of any dispute, claim, or disagreement arising from or relating to this Agreement or the breach thereof, the parties thereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If the dispute cannot be settled through negotiation within 30 days, any dispute resolution practice shall be available to the parties, whether negotiation, mediation, arbitration, litigation, or other.

TERMINATION: This Agreement shall survive the termination of the services to be provided by Volunteer or any other agreement by and between the parties.

ENTIRE AGREEMENT AMENDMENTS: This Agreement is intended as the complete, final and exclusive statement of the parties with respect to the subject matter hereof, and supersedes any prior agreements or understandings between the parties hereto. This Agreement may be amended, modified or supplemented only by a written agreement signed by Volunteer and GSOC. Any waiver of the terms and conditions of this Agreement must be in writing signed by the party granting such waiver and shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure to perform.
