  • EMPLOYEE NON-DISCLOSURE AND CONFIDENTIALITY AGREEMENT


    This Non-Disclosure and Confidentiality Agreement (“Agreement”) is made effective upon submission of this application, by and between EZ Services, LLC, a Georiga Limited Liability Corporation (“Company”), and the applicant (“Employee”).

    1. Definition of Confidential Information.
    For purposes of this Agreement, “Confidential Information” shall include all information or material that has or could have commercial value or other utility in the business in which Company is engaged. This includes, but is not limited to, business strategies, client lists, financial data, research, development, processes, and any other proprietary information of the Company.

    2. Obligations of Employee.
    Employee agrees that at all times during or subsequent to the performance of services for the Company, they will keep confidential and not disclose, directly or indirectly, any Confidential Information to any person or entity without the prior written consent of the Company. The Employee will also take all reasonable precautions to prevent any unauthorized disclosure of such Confidential Information.

    3. Exclusions from Confidential Information.
    Confidential Information does not include information that:
    a. is or becomes publicly known through no wrongful act of the Employee;
    b. is received from a third party without breach of an obligation of confidentiality;
    c. is independently developed by the Employee without use of or reference to the Company’s Confidential Information.

    4. Return of Confidential Information.
    Upon termination of the Employee’s relationship with the Company, or upon Company’s request, the Employee shall immediately return all copies of Confidential Information in their possession.

    5. Term.
    The obligations of this Agreement shall survive until such time as all Confidential Information becomes publicly known and made generally available through no action or inaction of the Employee.

    6. No Grant of Rights.
    The Employee acknowledges that no license or any other rights to the Confidential Information is granted or implied by this Agreement.

    7. Remedies.
    The Employee agrees that any violation or threatened violation of this Agreement may cause irreparable injury to the Company, entitling the Company to seek injunctive relief in addition to all legal remedies.

    8. Entire Agreement.
    This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

    9. Amendment.
    This Agreement may be amended or modified only by a written instrument executed by both the Company and the Employee.

    10. Governing Law.
    This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia.

    IN WITNESS WHEREOF, the parties have executed this Non-Disclosure and Confidentiality Agreement immediately upon submission of this application.
