By agreeing for Bottom of the Harbour Limited (BOTH) to undertake management services for you, you accept the following Terms and Conditions.

• The conduct of a business has inherent risks. The management of these risks is essential to ensure the success of the business and to protect the investors (shareholders) in that business. BOTH can assist investors (shareholders) to assess exposure to risk and to manage that risk such that it is minimised. BOTH cannot guarantee that all risk is eliminated. BOTH will provide assistance and advice in accordance with these TERMS and CONDITIONS but it is the responsibility of the client to follow the advice provided by BOTH and to provide information as and when requested and to undertake all necessary activities as and when requested, by BOTH.
• BOTH will establish a limited company for you, which will be registered with Companies House.
• BOTH will be listed as the Company Secretary for your limited company and will undertake all necessary filing activities with Companies House while you retain BOTH as your agent. BOTH will cease to act as Company Secretary and all associated filing activities should you decide to cease our relationship.
• BOTH will arrange a Trading account and a Business Savings account for your limited company with HSBC bank. As part of this process, HSBC will conduct a credit check. Should HSBC decline to open these accounts as a result of this credit check, BOTH will decline to act for you and you will be charged for the costs associated with establishing and closing your limited company.
• BOTH will be the signatories on these business bank accounts while ever we act for you. This allows BOTH to be able to account for all transactions relating to your company and to provide full book keeping services relative to your company.
• BOTH will undertake all book keeping activities and prepare and lodge all taxation returns relative to your company and submit them to you for approval prior to lodgment. Should there not be sufficient funds in your company bank accounts to meet any tax liability, it is your responsibility to provide sufficient funds to meet your tax liability. It is your responsibility to provide BOTH with supporting documentation for all expenses that may be included as allowable expenses for your company. BOTH will provide advice and assistance as to which expenses are allowable.
• By trading through a limited company, you are liable for your own Professional Indemnity and Public Liability insurance. BOTH can provide quotes for this insurance. Should you decline to accept quotes for insurance as provided by BOTH, it will be your responsibility to obtain appropriate insurance cover and to provide details of it to BOTH.
• BOTH will charge a fee equal to 8% of the gross earnings of your company. This amount will be deducted from your income through your company and the balance remitted to your private bank account or allocated to your Business savings account on a regular, usually weekly, basis. The frequency of this remittance will depend on the frequency of your payments to the company.
• Should you decide to cease this agreement with BOTH, you may elect to retain your limited company in which case BOTH will cease to act as the Company Secretary. Similarly, you will need to arrange with HSBC for BOTH to no longer act as signatory for the company bank accounts. BOTH will also cease to act on your behalf with respect to the preparation and lodgment of any tax returns with HMRC.
• BOTH can assist with the preparation and lodgment of personal tax returns in Australia. BOTH has negotiated favourable fees with an Australian accounting firm in relation to such work. Such costs will be your responsibility and are not part of the BOTH fee.
• BOTH can provide supporting documentation to assist with visa applications in the UK. BOTH will charge a nominal fee with respect to this work that will vary depending on the amount of work associated with preparing this documentation. BOTH does not give any guarantee that the documentation provided will ensure a successful outcome for the visa application.
